Terms of Service
Terms governing VirtualVox business voice-agent services, account responsibilities, communications, customer data, billing, cancellation and support.

1. The Service
These Terms of Service ("Terms") are an agreement between you, or the business you represent, and AIIDL Technologies Pvt. Ltd. (Aiidl Technologies Private Limited), India, which operates VirtualVox ("VirtualVox", "we", "us", or "our"). By creating an account, purchasing a plan, or using our services, you agree to these Terms. If you act for a business, you must have authority to bind that business.
VirtualVox provides software and related services for AI voice conversations, business enquiries, customer support, lead qualification, appointment workflows, call campaigns, reporting, and connected business tools (the "Services"). Available features, usage limits, integrations, support, and charges depend on your agreed plan or order. An integration shown or discussed on the website is not a guarantee that it is enabled for your account.
A signed customer agreement, order form, or data processing agreement takes precedence over these online Terms to the extent of a direct conflict.
2. Account Registration
Provide accurate, current information when registering and keep it up to date. Account administrators must be at least 18 years old and authorised to act for the business. You are responsible for:
- Protecting login credentials, API keys, and access to connected systems.
- Managing authorised users, permissions, contractors, and account security.
- Activity performed through your account and ensuring your users follow these Terms.
Notify us promptly at [email protected] if you suspect unauthorised access, exposed credentials, or an account compromise.
3. Business Use
The Services are intended for legitimate business and organisational use. You must not use them to:
- Conduct unlawful activities, fraud, phishing, impersonation, harassment, threats, or abuse.
- Send spam, make unauthorised bulk calls, spoof caller identity, or send unlawful communications.
- Distribute malware, interfere with the Services, bypass technical restrictions, or access another account without permission.
- Violate privacy, data-protection, intellectual-property, or other third-party rights.
- Clone or simulate a real person's voice without the necessary consent and rights.
- Use the Services as an emergency service or make sensitive, consequential decisions without appropriate human review and safeguards.
- Resell or provide third-party access to the Services except under an authorised arrangement.
4. Calls, WhatsApp and Messaging Compliance
You control your audiences, contact lists, scripts, prompts, call schedules, recordings, campaigns, and connected workflows. You must obtain and document the consent, permissions, or other lawful basis required for each activity, including automated or AI-voice calls, recording, transcription, and personal-data processing.
- Identify your business and provide AI, recording, privacy, and other disclosures required for the interaction.
- Honour opt-outs, unsubscribe requests, suppression lists, applicable do-not-disturb preferences, permitted calling times, and frequency restrictions.
- Meet applicable sender, number, telemarketer, consent, and template-registration requirements, including relevant TRAI rules for communications in India.
- Test agent behaviour, check approved answers, and maintain suitable human handoff and error-recovery arrangements.
If WhatsApp, SMS, or another messaging channel is enabled for your deployment, you must also follow that provider's applicable policies, consent rules, and template requirements. Providers may independently restrict or suspend accounts. We do not guarantee approval or continued availability of a third-party account or channel.
The platform does not certify the legal compliance of your campaigns. For Indian commercial communications, see the TRAI guidance on communication preferences and consent.
5. Customer Data and AI Outputs
You are responsible for the data, contact records, prompts, recordings, transcripts, knowledge sources, and other material you upload or process through VirtualVox ("Customer Data"). You must hold the necessary rights and lawful basis and provide appropriate privacy notices to customers, callers, and contacts.
As between you and VirtualVox, you retain your rights in Customer Data and outputs generated specifically from it. You grant us the limited rights needed to host, process, transmit, and display that material to provide, maintain, secure, and support the Services, follow your configurations, and comply with applicable legal obligations.
We do not use your private Customer Data, transcripts, or call recordings to train general-purpose public or shared foundation models without your prior express written consent. Personal-data handling is further described in our Privacy Policy and any applicable data processing agreement.
AI responses can be inaccurate, incomplete, or similar to other users' outputs. Validate important information, monitor deployed workflows, and use human review where a mistake could cause harm. Do not submit sensitive data unless your agreed deployment and safeguards support it.
6. Subscription and Billing
Production voice-minute packs are one-time prepaid purchases, not automatically renewing subscriptions. The Pricing page lists Standard pack prices; an assigned volume plan is shown in your dashboard. The displayed top-up total is final: no tax or payment-gateway fee is added at checkout. Carrier, phone-number, setup and integration charges are separate where applicable.
Paid Services are supplied under the plan or order you accept. Subscription fees, usage charges, billing frequency, allowances, overage rates, and payment terms are set out in the relevant quotation, order, checkout, or account billing information. Telephony, messaging, integrations, or other third-party services may carry separate charges.
Where your purchase expressly includes automatic renewal, the disclosed renewal terms and your payment authorisation apply. You may stop future renewals through available billing controls or by contacting [email protected]. We will provide notices required by your agreement and applicable law, including notice of material changes to renewal charges.
Unpaid charges may result in restricted or suspended access after any applicable notice or grace period. A failed payment does not itself guarantee conversion to a free plan or indefinite retention of account data. Retention and access are governed by your agreement and our Privacy Policy.
7. Taxes
Applicable taxes, including GST and other transaction taxes, may be added where required by law. Unless your order states otherwise, quoted charges exclude applicable taxes. You are responsible for taxes associated with your purchase and use, other than taxes on our net income, subject to applicable law.
8. Trial and Free Plans
We may offer limited demos, trials, free access, or features marked beta or preview. Their duration, allowances, and restrictions are those communicated with the offer. Trial access does not create an entitlement to continued free use or confirm a production deployment.
We may change or discontinue such offers subject to applicable contractual and legal requirements. Experimental features should not be used for critical operations without suitable review and safeguards.
9. Suspension and Termination
We may restrict, suspend, or terminate access where:
- You materially breach these Terms or fail to pay charges when due.
- Your account creates a security risk or threatens the Services or other users.
- Your calls or messages violate applicable law, consent requirements, or provider policies.
- We are required to act by law, a competent authority, or an upstream provider.
Where reasonably possible, we will provide notice and an opportunity to address the issue. Immediate action may be necessary to protect people, data, or systems or meet a legal requirement. Either party may terminate for a material breach that remains uncorrected for 30 days after written notice, unless the applicable agreement provides a different remedy.
After termination, access rights end and outstanding charges remain payable. Data export, retention, and deletion follow the applicable agreement and Privacy Policy. If an inactive free or trial account is scheduled for closure, we will provide notice and an opportunity to act where reasonably possible. There is no fixed inactivity-deletion period established by these Terms.
10. Cancellation and Refunds
You may request cancellation through available account or billing controls or by emailing [email protected]. For an automatically renewing subscription, cancellation stops future renewals and access continues until the end of the period already paid for, unless the agreement or a permitted suspension provides otherwise.
Cancellation does not, by itself, entitle you to reimbursement for an unused paid period. Refund rights, credits, committed usage, and any early-termination charges are governed by the terms accepted with your order and applicable law. Nothing here limits a refund or other remedy that cannot lawfully be excluded.
11. Intellectual Property
VirtualVox software, designs, trademarks, documentation, and underlying technology are owned by AIIDL Technologies Pvt. Ltd. or its licensors and are protected by applicable intellectual-property laws. You receive a limited, non-exclusive, non-transferable right to use the Services during your authorised access period, subject to these Terms and your order.
You retain your Customer Data. Using the Services does not transfer ownership of the platform, source code, models, or other underlying technology to you. You must not copy, reverse engineer, or exploit that technology except where expressly permitted by agreement or applicable law.
12. Feedback
If you voluntarily provide suggestions or feedback, you permit us to use them to improve our products without an obligation to compensate you, provided that this does not authorise disclosure of your confidential information or override our Customer Data commitments.
13. Third-Party Services
Your deployment may connect to telecommunications providers, messaging platforms, CRM tools, calendars, payment processors, or other services that you choose and that are supported for your setup. Those services have their own terms, policies, charges, and access requirements.
Third-party outages, account restrictions, pricing changes, or policy changes can affect connected workflows. We do not control those providers or guarantee their availability. You are responsible for maintaining the accounts, permissions, and authorisations needed for your chosen connections.
14. Service Availability
We aim to provide reliable Services, but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, carrier or internet failures, provider restrictions, and events outside our reasonable control may affect availability. Any agreed service levels, support commitments, and remedies are set out in your signed agreement or order.
15. Disclaimer
Except for express commitments in your applicable agreement and rights that cannot lawfully be excluded, the Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee a particular sales, marketing, appointment, or other business result.
AI output quality, speech recognition, and response timing may vary with inputs, accents, background noise, network conditions, and connected providers. The Services do not replace appropriate professional judgement, human oversight, or emergency services.
16. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, business opportunities, or goodwill arising from these Terms or use of the Services.
Subject to the exceptions below and any different limit in a signed agreement, each party's aggregate liability is limited to the fees paid or payable by you for the Services giving rise to the claim during the twelve (12) months immediately before the event giving rise to that claim.
These limits do not apply to your payment or indemnification obligations, either party's breach of confidentiality, or infringement of the other party's intellectual-property rights. Nothing in these Terms excludes or limits liability, or a statutory remedy, that cannot legally be excluded or limited.
17. Indemnification
To the extent permitted by law, you agree to defend and indemnify AIIDL Technologies Pvt. Ltd., operating as VirtualVox, against third-party claims, losses, damages, and reasonable expenses arising from:
- Your unlawful use of the Services or material violation of these Terms.
- Your violation of third-party rights or unauthorised calls, recordings, or messages.
- Customer Data or communications supplied, configured, or distributed by you.
We will give prompt notice of a claim and reasonable cooperation. You may not settle a claim in a way that admits fault or imposes obligations on us without our prior written consent.
18. Confidentiality and Data Protection
Each party will use reasonable care to protect the other's non-public business, technical, and commercial information. Confidential information may be used or disclosed only as needed to perform the applicable agreement, to authorised recipients with appropriate obligations, with permission, or as required by law. Information that is public without a breach, independently developed, or lawfully obtained without restriction is not confidential information.
We apply safeguards designed to protect information processed through the Services. You must use suitable account security, limit access to authorised users, and avoid exposing secrets in prompts or recordings. Our Privacy Policy and any applicable data processing agreement describe personal-data handling. Applicable data-protection laws and rules apply as they come into force.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, unless a separate signed agreement provides otherwise, and subject to mandatory protections under applicable law.
The parties will first seek to resolve a dispute through good-faith discussions. If it remains unresolved after 30 days from written notification, the competent courts located in Gautam Buddha Nagar, Uttar Pradesh, India shall have exclusive jurisdiction, except where applicable law requires a different forum or a signed agreement provides otherwise.
20. Changes and General Provisions
We may update these Terms from time to time. The effective date appears at the top of this page, and material changes will be communicated where required by law or your agreement. Continued use after the effective date constitutes acceptance only where legally permitted.
If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver. The parties are independent contractors. Provisions that are intended to survive termination, including outstanding payments, confidentiality, intellectual property, indemnification, and dispute resolution, continue after access ends.
21. Grievances and Complaints
For a complaint about the Services or personal-data handling, contact VirtualVox at [email protected] with the subject "Grievance". Include your name, account or business details, a description of the issue, and a way to contact you. Do not include passwords or payment credentials.
Postal complaints may be addressed to AIIDL Technologies Pvt.
